LINK Mobility Group Holding ASA acquires MarketingPlatform in Denmark

Oslo, 4/15/2021

LINK Mobility Group Holding ASA (LINK) has today entered into a definitive agreement for the acquisition of MarketingPlatform. The acquisition clearly complements LINK's CPaaS offering and provides material mid- and long-term upsell opportunities to LINK's more than 40,000 customers.

MarketingPlatform was established in Denmark in 2011 and is today headquartered in Vejen. The company has developed an omnichannel marketing platform with an integrated customer data platform (CDP) giving customers a unified profile view. Omnichannel output is to e-mail, SMS, app, web and social media. MarketingPlatform is active across markets in Denmark, Sweden, Norway, Perú and Spain with focus on enterprise, large and medium sized customers. Software development is located in Macedonia. The company's revenues are primarily related to software licenses.

"I'm very pleased with the acquisition of MarketingPlatform as it will enable LINK to significantly expand our CPaaS offering within multi-channel marketing campaign management, a strong email and mobile messaging user interface and customer data management. With this acquisition, we will be able to offer targeted, interactive and exciting end-to-end marketing campaigns to our existing 40.000 customers", says Guillaume Van Gaver, CEO of LINK.

"Our acquisition by LINK is a significant step for MarketingPlatform. We have developed a top of the class modular omnichannel marketing platform as a service and are excited to leverage its capabilities to LINK's current global customers and to grow together into new markets", says Kim Østergaard, CEO & Founder of MarketingPlatform.

The transaction values MarketingPlatform at an enterprise value of EUR 13 million with an additional 2-year earnout of up to EUR 5 million contingent on commercial results and continued platform development. Upon completion of the transaction, the purchase price will be settled with 30% in cash and 70% in shares in LINK. The consideration shares will be subject to customary lock-up for a 6-month period after closing of the transaction. The transaction is subject to customary conditions for completion, including regulatory approvals. The transaction is planned to close during Q2 2021.

DLA Piper, Denmark and AGP Advokater, Norway acted as legal advisors while EY, Denmark acted as financial advisors to LINK.
